As you have just opened our Terms of Service, please pause and carefully read the following pages — this is an important legal agreement.
These Terms of Service (“Terms”, “Terms of Service”) govern your use of our web pages located at https://modularcontent.io and our mobile application (together or individually the “Service”) operated by Ecoleqt Inc. (“Company”, “we”, “our”, “us”).

Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You acknowledge that you have read, understood, and agree to be bound by the Agreements.

If you do not agree with (or cannot comply with) the Agreements, then you may not use the Service. Please let us know by emailing support@modularcontent.io so we can try to find a solution. These Terms apply to all visitors, users, and others who wish to access or use the Service.

‍Communications
By creating an account on our Service, you agree to subscribe to newsletters, marketing or promotional materials, and other information we may send. You may opt out of receiving these communications by following the unsubscribe link or by emailing support@modularcontent.io.  

‍Purchases
If you wish to purchase any product or service made available through the Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase including, without limitation, credit card number, billing address, and shipping information.

You represent and warrant that:(i) you have the legal right to use the payment method in connection with any Purchase; and(ii) the information you supply to us is true, correct, and complete.
We may use third-party services to facilitate payment and completion of Purchases. By submitting your information, you grant us the right to provide such information to these third parties, subject to our Privacy Policy.
We reserve the right to refuse or cancel your order at any time for reasons such as product or service availability, errors in description or pricing, fraud, or unauthorized transactions.  

‍Contests, Sweepstakes and Promotions
Any contests, sweepstakes, or promotions (“Promotions”) made available through the Service may be governed by rules separate from these Terms. If you participate in any Promotion, please review the applicable rules. If the rules conflict with these Terms of Service, the Promotion rules will apply.  

‍Subscriptions
Some parts of the Service may be billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set either monthly or annually, depending on your chosen plan.
At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it or Ecoleqt Inc. cancels it. You may cancel your Subscription renewal through your online account management page or by contacting Customer Support at support@modularcontent.io.

You must provide accurate billing information and authorize charges to your payment method. Should automatic billing fail, we will issue an electronic invoice indicating that you must proceed manually with payment.  

‍Free Trial
Ecoleqt Inc. may offer a Subscription with a free trial period (“Free Trial”) or. You might need to enter billing information to sign up. You will not be charged until the Free Trial expires. If you do not cancel before the end of the Free Trial, you will automatically be charged the applicable Subscription fees.
Ecoleqt Inc. reserves the right to modify or cancel Free Trial offers at any time.

Paid Pilot Program
Paid Pilot Program. From time to time, Modular Content or its affiliates (“Company”) may offer selected users the opportunity to participate in a Paid Pilot Program (“Pilot Program”) under which the Company provides access to certain products, services, or features of the Service for a limited evaluation or pre-launch period in exchange for payment.

Participation in a Pilot Program is voluntary and governed by these Terms and any additional written terms specific to the Pilot Program (“Pilot Program Terms”). If there is a conflict between these Terms and the Pilot Program Terms, the Pilot Program Terms will control for the duration of the relevant Pilot Program.

Eligibility and Duration. The Company may set eligibility criteria for participants in any Pilot Program, including without limitation requirements related to user type, geographic location, or prior usage of the Service. Each Pilot Program will have a defined start and end date (“Pilot Period”), which may be extended or terminated early by the Company in its sole discretion.

Fees and Payment. Participation in a Paid Pilot Program may require advance payment of fees (“Pilot Fees”) as specified by the Company. Pilot Fees are non-refundable except to the extent required by applicable law, and must be paid in accordance with the payment terms specified by the Company. The Company reserves the right to modify Pilot Fees, suspend participant access, or terminate a participant’s involvement in a Pilot Program for failure to timely pay any fees.

Deliverables and Use. During the Pilot Period, participants may receive access to products, services, software, or other deliverables (“Pilot Deliverables”) solely for the purpose of evaluation in connection with the Pilot Program. Unless explicitly permitted in writing, participants may not use Pilot Deliverables in production, for commercial purposes, or beyond the scope of the Pilot Program.

Feedback. By participating in a Pilot Program, you grant the Company a perpetual, royalty-free, worldwide, transferable, sublicensable right to use, disclose, or incorporate any feedback you provide relating to the Pilot Program or Pilot Deliverables without obligation or attribution to you.

Termination. Either party may terminate a participant’s involvement in a Pilot Program at any time, with or without cause, by providing notice to the other party. Upon termination or expiration of the Pilot Period, your rights to access or use any Pilot Deliverables will automatically cease, and you must discontinue all use of the Pilot Deliverables.
‍
No Warranty. Pilot Programs and Pilot Deliverables may be provided “AS IS” and “AS AVAILABLE,” without warranty of any kind. The Company does not guarantee any outcomes, performance levels, or results from a Pilot Program.
‍
General Terms. Except as expressly modified by the Pilot Program Terms, all provisions of these Terms of Service apply to your participation in any Pilot Program, including without limitation sections governing Fees, Refunds, Intellectual Property, Limitation of Liability, and Termination.  

‍Fee Changes
Ecoleqt Inc., at its sole discretion, may modify Subscription fees. Fee changes will become effective at the end of the current Billing Cycle. We will provide reasonable prior notice of any fee changes. Continued use after the change constitutes your agreement to pay the updated fees.  

‍Refunds
Except where required by law, paid Subscription fees are non-refundable.  

‍Content
Content found on or through the Service is the property of Ecoleqt Inc. or used with permission. You may not distribute, modify, transmit, reuse, download, repost, copy, or use said Content for commercial or personal gain without express written permission.  

‍Prohibited Uses
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:• Violate applicable laws or harm minors;• Transmit spam or unsolicited communications;• Impersonate any person or entity;• Infringe rights of others;• Interfere with or damage the Service or servers;• Use robots, spiders, or automated means to access the Service;• Introduce harmful software or attempt unauthorized access;• Engage in denial-of-service attacks.  

‍Analytics
We may use third-party Service Providers to monitor and analyze use of our Service, such as Google Analytics and Firebase, according to their respective privacy practices.  

‍No Use By Minors
The Service is intended only for individuals who are at least eighteen (18) years old. By accessing the Service, you represent you are at least eighteen.  

‍Accounts
When you create an account, you guarantee that the information provided is accurate and you are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account.  

‍Intellectual Property
The Service and its original content (excluding User-provided Content), features, and functionality remain the exclusive property of Ecoleqt Inc. and its licensors.

Copyright Policy & DMCA
We respect intellectual property rights. If you believe any content on the Service infringes your copyright, you may submit a notification in accordance with the U.S. Digital Millennium Copyright Act (“DMCA”). The notification must include your contact details, a description of the work claimed to be infringed, URL of the infringing material, and other requirements per DMCA. ‍Error Reporting and Feedback
You may provide feedback to support@modularcontent.io. By submitting Feedback, you grant us rights to use and commercialize the Feedback without obligation to you.  

‍Links To Other Websites
Our Service may contain links to third-party web sites that are not owned or controlled by Ecoleqt Inc. We assume no responsibility for the content, policies, or practices of third parties.  

‍Disclaimer Of Warranty
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” Ecoleqt Inc. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.  

‍Limitation Of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, Ecoleqt Inc. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.  

‍Termination
We may terminate or suspend your account and access to the Service immediately, without notice, for any reason. Provisions that should survive termination will remain in effect.  

‍Governing Law
These Terms are governed by the laws of the State of Indiana, without regard to conflict of law provisions.  

‍Changes To Service & Amendments To Terms
Ecoleqt Inc. may modify the Service or these Terms at any time by posting the amended terms. Your continued use after changes constitutes acceptance of the revised terms.  

‍Waiver And Severability
No waiver by the Company shall be considered a continuing waiver. If any provision is held invalid, the remaining provisions remain in effect.  

‍Acknowledgement
BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
